1. Introduction
Welcome to the prototype application (the "Service") from Vicunous, Inc. ("Vicunous," "we," "us," "our"). This Privacy Policy explains how we collect, use, and share information when you use our Service. The Service is an alpha-stage, AI-native platform for funding transactions.
This Privacy Policy is part of our complete agreement with you. Your use of the Service is also governed by our Terms of Service, which you should read carefully. By creating an account or using this Service, you consent to the data practices described in this Privacy Policy and agree to both this Privacy Policy and our Terms of Service. You specifically and expressly consent to the recording, storage, and processing of your interactions, text inputs, and chats by Vicunous, and to our sharing that information with third-party artificial intelligence service providers, in real time for the purpose of generating responses through the Service and for the other uses described in this Privacy Policy, including improving our models and the Service.
This Service is intended for U.S. residents only. If you are outside the United States, please do not use this Service or provide any personal information. We do not knowingly target or market the Service to individuals in the European Economic Area, the United Kingdom, or other jurisdictions with comprehensive data protection laws outside the United States.
2. Information We Collect
We collect information about you and your use of the Service in a few different ways, including (a) information you provide directly, (b) information collected automatically when you use the Service, and (c) information we obtain from third parties.
Information You Provide Directly. We may collect information that you provide to us, including for example:
- Identifiers and contact information, such as your name, email address, username, password, and other contact details you choose to provide.
- Business and funding information, such as information about your current or proposed business, ownership and cap table information, and details of actual or proposed funding transactions.
- Financial and transactional information, such as budgets, revenue and expense assumptions, cash flows, funding amounts, and repayment terms.
- User content, such as business plans, investment memos, budgets, term sheets, promissory notes, messages, and any other content you upload or otherwise submit to the Service.
Information We Collect Automatically. When you access or use the Service, we and our service providers automatically collect certain information, which may include, for example:
- Usage information, such as the features you use, pages and screens you view, prompts you enter, content you click on, navigation paths, and the time and duration of your sessions.
- Device and technical information, such as your IP address, approximate location (based on your IP address), browser type and version, operating system, device identifiers, and language settings.
- Analytics, cookies, and similar technologies. We use and allow our service providers to use cookies, web beacons, pixels, local storage, SDKs, and other tracking and analytics technologies to collect information about how the Service is accessed and used and, in some cases, about your activity over time across other websites and online services. This information may include, but is not limited to, information about the pages and screens you view, features you use, links you click, how you navigate through the Service, timestamps, session duration, performance metrics, and information about your interactions with the Service such as scroll and mouse movements and other interaction events. Information from Artificial Intelligence and Modeling. When you use AI-powered features of the Service, we may process and log your inputs and the outputs generated for you, and we may generate internal metrics, scores, and other inferences based on your use of the Service. We use this information to provide the Service and to train, test, and improve our models, algorithms, and internal intelligence systems.
Information We Obtain from Third Parties. We may receive information about you from third parties, such as analytics and measurement providers, service providers that host or support the Service, and business partners, and we may combine that information with other information we have about you.
3. How We Use Your Information
We use the information we collect for a wide range of business purposes, as permitted by applicable law. By using this alpha-stage Service, you consent to our use of your information for the purposes described in this Privacy Policy, which may include:
- To Provide and Improve the Service. We use your information to operate, maintain, and provide the features of the Service; to support and personalize your interaction with the Service; to process and respond to your requests; and to identify, diagnose, and fix technical problems.
- For Research, Development, and Model Training. We use information we collect—including your inputs, outputs, business, financial, transactional, usage, and analytics information—to analyze, develop, test, and improve the Service and our other products and services. This includes utilizing your financial data and transaction history to train, test, and refine our proprietary algorithms, foundation models, financial benchmarks, and credit scoring tools. Information used for these purposes may be stored and analyzed in aggregated, de-identified, or pseudonymized form, and we may also retain certain identifiable logs where reasonably necessary for debugging, security, and product-improvement purposes.
- To Communicate with You. We may use your email address and other contact information to send you updates about the Service, respond to your inquiries, provide customer support, and communicate with you about new features, beta programs, or other Vicunous products or offerings.
- Marketing and Advertising. We may use your information to send you marketing communications, to personalize and improve the content we show you, and to measure the effectiveness of our marketing efforts. We may engage service providers to deliver or help us deliver these communications and related analytics on our behalf. You can opt out of certain marketing emails by following the unsubscribe instructions in those emails.
- Security and Legal Compliance. We use information to monitor and help protect the security and integrity of the Service, our users, and our business; to detect, investigate, and prevent fraud, abuse, and other harmful or illegal activity; to enforce our Terms of Service and other agreements; and to comply with legal obligations or respond to valid legal process or lawful requests from authorities.
- Other Uses with Your Consent or as Permitted by Law. We may use your information for any other purpose that we describe at the time of collection or for which we obtain your consent, and for other uses that are compatible with the context in which the information was collected and permitted by applicable law.
4. How We Share Your Information
We may share the information we collect as described below, and as otherwise described in this Privacy Policy or at the time of collection.
- No Selling of Personal Information. At this time, we do not sell your personal information or share it with third parties for their own direct marketing purposes. If this changes in the future, we will update this Privacy Policy and, where required by law, provide you with any additional notice and choices.
- At Your Direction or with Your Consent. The Service may allow you to generate business plans, funding documents, or other content and share them with investors, lenders, advisors, or other third parties. When you choose to share information or content through the Service, or otherwise ask us to share information with a third party, we share that information as directed by you. We may also share your information for other purposes when you ask us to or otherwise give us your consent.
- Service Providers and Vendors. We share information with third-party service providers that perform services for us or on our behalf, such as hosting and infrastructure, data storage, analytics and measurement, customer support, email and communication services, artificial-intelligence and machine-learning providers, security and monitoring services, and payment processors. This specifically includes sharing the content and inputs you submit with third-party artificial intelligence providers to generate the responses and outputs you request. These service providers generally access and process your personal information only as reasonably necessary to perform services for us or to comply with their own legal obligations, and some may also use aggregated, de-identified, or pseudonymized data derived from their services to maintain and improve their own products and services, as described in their own privacy policies or terms.
- Affiliates. We may share information with our current and future affiliates (entities that control, are controlled by, or are under common control with Vicunous) for the purposes described in this Privacy Policy.
- Business Transfers, Mergers, and Acquisitions. As we develop our business, we may share, transfer, or receive business assets. In connection with a merger, acquisition, financing, reorganization, bankruptcy, receivership, sale of assets, or transition of service to another provider, information about our users is typically one of the transferred business assets, and we may share or transfer information as part of such a transaction.
- Legal Requirements and Protection of Rights. We may disclose your information if we believe in good faith that such disclosure is required or permitted by law, regulation, legal process, or a governmental request; to enforce our Terms of Service or other agreements; or to protect the rights, property, or safety of Vicunous, our users, or the public.
- Aggregated, De-Identified, and Derived Data. We may create and share aggregated, anonymized, de-identified, or other derived data that does not reasonably identify you personally. For example, we may develop statistical models, scores, benchmarks, or analytics based on information we collect. We own such aggregated, anonymized, de-identified, and derived data and may use and share it with third parties for any lawful purpose, including research, analytics, and developing and marketing our products and services.
5. Data Security
We implement reasonable technical, administrative, and physical measures and processes designed to protect the security of your information. However, no method of transmission over the Internet or method of electronic storage is completely secure, and we cannot guarantee absolute security of your information. You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your account and devices.
6. Cookies and Tracking Technologies
- Cookies: The Service uses "cookies" and similar technologies (such as pixels, web beacons, and local storage) for functionality, security, and analytics. A cookie is a small text file that a website or online service stores on your browser or device. You may set your browser to notify you before a cookie is received or to turn off cookies entirely, but this may affect how some parts of the Service function.
- Do Not Track: Our Service does not currently change its practices in response to web browser "Do Not Track" signals.
7. Children's Privacy
This Service is not directed to individuals under the age of 18, and we do not knowingly collect personal information from anyone under 18. If we become aware that we have collected personal information from an individual under 13, we will take reasonable steps to delete such information as soon as practicable.
8. Access and Correction of Your Information
We encourage you to help us keep your personal information accurate. If your personal information changes, or if you would like to review, correct, or request deletion of the information we have on file for you, please email your request to us at legal@vicunous.com. We may ask you for additional information to verify your identity and may retain certain information as permitted or required by law. 9. Changes to This Privacy Policy
We reserve the right to update this Privacy Policy at any time. When we make changes, we will post the revised Privacy Policy on the Service and update the Effective Date at the top to reflect the date on which the changes become effective. If we make material changes, we may also provide you with additional notice, such as by email or by posting a prominent notice within the Service. We encourage you to review this Privacy Policy periodically.
10. Disputes, Governing Law, and Venue
By using this Service, you agree that applicable federal law and the laws of the State of California, without regard to principles of conflict of laws, will govern this Privacy Policy. Any dispute or claim arising from or relating to this Privacy Policy or your use of the Service will be resolved in accordance with the dispute resolution procedures (including any agreement to arbitrate) set forth in our Terms of Service. The Terms of Service govern all aspects of dispute resolution.
